The Open Plenary Session began at 1:40pm.
Chair Bob Krinsky opened the meeting and welcomed everyone to Seattle, with a special
welcome to new trustee Larry Stone. Krinsky referenced the agenda item concerning
Board elections, saying that ULC might be excused if there was going to be involved
discussion on the candidates. He then gave the floor to Jack Merselis to provide
background information.
Jack noted that the Chair’s election at this meeting was part of an orderly process begun in
February 2000 at the Board’s retreat. The process continued with the Board’s self-
assessment, which was concluded at the October 2000 Board meeting. As a result of those
activities, the Chair appointed an Ad Hoc Trustee Committee whose recommendations
were considered and approved in June 2001 at the Board meeting held in Keene, New

Hampshire. Among that committee’s key findings was a strong belief in Antiochian
philosophy and values, a strong commitment to make the University work, and a concern
for the survival of the institution-most particularly the College. Money, Strategy and
Leadership were the three critical issues, which the Board committed itself to address.
That commitment led to the Financial Stabilization initiative, chaired by Jim McDonald.
On the issue of strategy, the Future of Antioch Committee was created. Its purpose was to
study elements of the future of the institution, its educational products, and what it takes to
achieve fiscal responsibility. With regard to board leadership, the Trusteeship Committee
devised a list of appropriate criteria for Board chair nominees and conducted a straw poll at
the February 2002 meeting in Seattle for the candidacy of Dan Kaplan. Subsequent to the
February meeting, Jeff Kasch requested the Trusteeship Committee to nominate him as a
candidate for the position.
Having discussed the matter thoroughly at this morning’s Trusteeship Committee meeting,
Jack Merselis then nominated Dan Kaplan and Jeff Kasch for Board Chair and requested
the Chair to open the floor for further nominations.
Chair Krinsky offered the floor to Dan Kaplan and then to Jeff Kasch. Each spoke on the
role of the Board and Board Chair and why they each feel qualified to be Chair.
Prompted by the situation of having two viable candidates for Chair, there followed
discussion on the need for a more formalized Board succession plan. The Trusteeship
Committee will be discussing this idea at its next meeting. It was pointed out by two
trustees that formalizing the Board succession process had been suggested at the February
meeting.
Time was allowed for Trustees to ask the candidates questions and then Chair Krinsky
asked for nominations from the floor. There were none.
At 2:40pm there was a recess.
At 2:55pm the Board went into Executive Session for further discussion during which Dan
and Jeff excused themselves. At the conclusion of the discussion, Dan and Jeff were asked
to return for the vote, which was conducted by secret ballot. The ballots were counted by
David Weaver who announced that Dan Kaplan had been elected.
At 4:40pm there was a recess, followed by a brief Trusteeship Committee meeting of the
whole to discuss nominations for the other officers of the corporation. It was decided by
consensus to postpone until Saturday morning elections for other officers and to give Dan
an opportunity to talk to individual trustees about serving as officers and committee chairs
and to convey his thoughts to the Trusteeship Committee.
At 5:05pm, the meeting resumed in Open Session.
Bill Hooper then asked the Chair to entertain a motion to delete the “Interim” from Jim
Craiglow’s title since Jim is exercising the full authority of the office and will be for
several months. The following resolution was then made and seconded:
RESOLUTION 6.08.02:29 CHooper/Bedford)
WHEREAS, James Craiglow was elected Interim Chancellor of the University by
prior action of the Board taken on February 9,2002;
WHEREAS, the Board now believes there is no reason or benefit in referring to James
Craiglow as “Interim Chancellor” instead of “Chancellor;”
IT IS, THEREFORE, RESOLVED, that the Board’s February 9, 2002 resolution be
amended, nunc pro tunc, to delete the word “Interim” and that henceforth until such
time as he ceases to serve as Chancellor, James Craiglow shall be referred to, for all
purposes, as “Chancellor of the University” or as “President of the Corporation and
Chancellor of the University” as provided in Section 5.3.1 of the Bylaws of the
University.
RESOLVED FURTHER, that the foregoing Resolution does not in any way alter the
Board’s intent to conduct a national search for a Chancellor or to elect the successful
candidate from said search to commence serving as Chancellor on or after September
1, 2003.

Mr. Krinsky then requested approval of the minutes.

RESOLVED, that the Board hereby approves the minutes from the February 7-9,
2002 Board of Trustees meeting held in Los Angeles, California, and the minutes
from the special meeting held on May 13,2002, via conference call.
Passed unanimously.
Report of the Chancellor – Jim Craiglow
A little more than three months into his new role as Chancellor, Jim reported he has visited
all campuses and was well received. He admits that after all his years at Antioch he
thought he knew everything about the institution, but he’s made some recent discoveries.
He discovered “a fundamentally positive spirit across the system” and went into some
specifics (Chancellor’s Report on file). Jim is pleased with the status of the NCA work
and also with the outcomes of recent ULC meetings.
At the close of Jim’s remarks, he underscored that Antioch has much to celebrate, that “we
have a significant number of small victories.”
At 5:20pm the session was adjourned.
Academic Affairs, which was scheduled to meet in the late afternoon, was unable to meet
given the shortage of time.
Toni Murdock hosted a reception in the Atrium which began at 5:30pm to introduce Joan
Straumanis to the Seattle community. Attending the reception were Trustees, ULC,
community members, and area alums.
Following the reception, the Board and ULC gathered at the Edgewater Hotel for dinner.
Between courses, Bob Krinsky read aloud the special certificates of appreciation to Paul
Ewald and to Trustees Monique Weston and Betty Fuchs, who resigned prior to the
February meeting, Jessica Lipnack, whose resignation is effective June 30, and Jim
McDonald, Leressa Crockett, and Lillian Lovelace, who are retiring from the Board. Bob
presented Lillian with a leather-bound scrap book.
In addition, Bob Krinsky read aloud the resolution appointing Lillian Trustee Emeritus.
Jim Craiglow then read aloud the certificate of appreciation for Bob Krinsky, who is
retiring effective June 30, after nearly 19 years as Trustee and 9 years as Board Chair. He
presented Bob with a photograph album.

Michael Murphy (Antioch College Director of Admissions) led a discussion on College
Admissions.
12:00-12:45pm – While the Trustees and ULC ate lunch, three graduates of the BATC
(Bachelor of Arts in Teacher Certification) program gave an enthusiastic presentation on
their experience with the program. Dr. Linda Campbell gave a history of the Gates
Foundation grant and current status of the program (handouts on file).
1:00 — 3:15 — Finance Committee Meeting.

In a PowerPoint presentation, Barbara demonstrated the Classroom of the Future concept,
which will soon be a reality. McGregor is celebrating the new collaborative spirit with the
College, crediting the leadership of Joan Straumanis. Barbara reported on programs,
Student and Alumni Services, and the IT consolidation project.

Joan reported on enrollment, consolidation and other personnel changes, physical facilities,
and the AIF.
Antioch New England Graduate School. Jim Craiglow (see narrative on pages 33-35 in the
AU Proposed Budget Report to the BoT)
Jim announced that his successor has been identified and that he now needs to begin
negotiations to get him there,
Antioch University Southern California. Chloe Reid (report on file)
Chloe gave special thanks to Laurien Alexandre, Jim Craiglow, Toni Murdock, Sandra
Deming, and Lillian Lovelace for their support these recent months as she took on the
appointment of Interim President.
Antioch University Seattle, Toni Murdock (see narrative on pages 41-48 in the AU
Proposed Budget Report to the BoT)
Toni delivered a graphic “power point” presentation, which highlighted campus
improvements, the passing of the state bill for financial aid, and future areas of focus.
Presidents’ reports were followed by a 10-minute recess.
NCA accreditation process status report – Paul Ewald provided an update on the NCA
process – all that’s transpired since the February meeting, the tasks that remain, and what
happens after the visit (see Paul’s “Update on NCA and Accreditation Activity,” on file).
He then took questions.
Joan Straumanis asked Antioch College community manager Brandy Ellis if she had a
sense of the level of understanding among the student body about the accreditation and the
NCA. Brandy responded that there is an awareness of the accreditation and that the NCA
visit is something that can be discussed at the next community meeting.
Bob Krinsky asked Jim Craiglow who would be taking responsibility for the accreditation
process after Paul leaves Antioch the end of July. Jim pointed out that the bulk of the work
will be done by then, but that Jim Hall would take responsibility for much of the process,
adding that it might be necessary to hire a temp to do copying, collating, etc.
Bob Krinsky asked Lois Mann for the update on the capital campaign.
Campaign update by Lois Mann and Frank Pisch (complete report on file). The
presentation was followed by questions and answers.
Finance Report – Glenn Watts presented the budget update via PowerPoint presentation.
Bob Krinsky asked Jim Craiglow to give an update on the ANE president search. Jim
reviewed the brief history of the process and then asked for a resolution authorizing him to
negotiate a contract with the candidate, Peter Temes.

RESOLVED, that the Chancellor is hereby authorized to negotiate an employment
agreement with Peter Temes on the terms and conditions he deems necessary and
appropriate to hire Peter Temes as President of the Antioch New England Graduate
School, provided, however, that said agreement shall be conditioned upon the Board’s
election of Peter Temes to serve as a Vice President of the University and President of
the Antioch New England Graduate School at a special meeting to be called for that
purpose.

The meeting was adjourned at 6:20pm. Trustees and ULC gathered at the Columbia
Towers in downtown Seattle for dinner with the Seattle Board of Visitors.

Trusteeship Committee met from 8:00 – 9:15am in a closed meeting to resume discussion
of Board officers.
At 9:20am, the Plenary Session resumed in a discussion of Management Transition and
Future of Antioch. (The Management Transition Committee and Future of Antioch
Committee had been scheduled as committee meetings but nearly all trustees attended and
participated.) Bob Krinsky noted that with Jim Craiglow’s election as Chancellor and the
impending hiring of Peter Temes, the work of the Management Transition team may be at
a point where the committee could be abolished so that the Chancellor could lead the
future searches for campus presidents. After brief discussion, it was agreed by consensus
that the Management Transition Committee was no longer needed and Dan Kaplan was
asked not to appoint trustees to this committee when committee assignments for the new
year are made.
A discussion concerning the search for the Chancellor followed. Jim Craiglow reported
that the ULC felt it should have input into the role and qualifications of the new chancellor
before the search commenced. He indicated the ULC will discuss this at the ULC retreat
in July and will prepare and distribute to the Board by August 1, 2002, a suggested
approach so that the Chancellor Search Committee can begin its work in the Fall. It was
pointed out that the Board had authorized a search and approved the committee’s charge at
the Keene, New Hampshire, Board meeting in June 2001. Dan Kaplan was asked to
appoint that committee after receiving the ULC’s suggestions so that it can proceed with
its work
Future of Antioch. Bob Krinsky asked Bruce Bedford to lead this discussion. For
discussion’s sake, Jim Craiglow distributed a list of recommendations from ULC for the
Future of Antioch and asked for feedback from the Trustees within the following two
weeks (an e-mail to the Trustees was promised as a follow-up item to the Board meeting
with the list as an attachment, which was to prompt their responses).
Jack Merselis reviewed the reasons why the Future of Antioch Committee was created at
last June’s meeting. The goals of the committee had to do with fiscal responsibility and
long-term sustainability, and using resources wisely to attain these goals. There was
agreement that the process was best directed by the Chancellor, in consultation with the
ULC, but that the Board of Trustees needed to maintain involvement. Further discussion
will be needed at the October 2002 meeting. (There was a suggestion that the October
Board meeting be extended, adding Wednesday afternoon and going later into Saturday.
Barbara Danley also suggested using First Class, the university’s on-line e-mail and
networking system, for Board communication. Each Trustee would be given access to the
system where each committee of the board would have a folder and committee members
would have access to those folders.)

After the break, the Board resumed in open session and the Chair asked to approve
Resolution 2:

RESOLVED, that the Board of Trustees of Antioch University hereby ratifies and
confirms the actions of the Executive Committee as reported in the minutes of the
conference call held on 4-1-02.
Passed unanimously.
Bob Krinsky then asked Jim McDonald for the Finance Committee Report. Jim
provided necessary background and upon the recommendation of the Finance Committee,
the following resolutions were made and seconded:

RESOLVED, that, upon the recommendation of the President of the Antioch New
England Graduate School, the Board hereby approves the extension and modification
of the lease for space located at 195 Commerce Way, Portsmouth, New Hampshire, on
the terms and conditions reviewed with and approved by the Finance and Physical
Facilities Committees at this meeting.
Passed unanimously.
RESOLUTION 6.8.02:10 (McDonald/Bedford)
RESOLVED, that the Board approves the 2002-2003 Compensation for the Officers
of the Corporation as reviewed by the Chancellor with the Finance Committee.
Passed unanimously.
There followed discussion of establishment of a recommendation of the Finance
Committee to consider a compensation sub-committee to work with the Chancellor on
officer compensation and contract matters. The recommendation was agreed to by
consensus.
RESOLUTION 6.8.02:11 (McDonald/Kasch)
RESOLVED, that upon the recommendation of the Chancellor and the Finance
Committee, the Board of Trustees adopts the unrestricted general operating
budget and the capital budget for FY 2002 -2003 as presented to the Board of
Trustees at this meeting.
FURTHER RESOLVED, that the Board of Trustees hereby delegates to the Vice
Chancellor and CFO the final authority to approve expenditures between
$10,000 and $25,000 as set forth in the FY 2002-2003 capital budget.
There was a discussion concerning approval of a budget with a $1.0M deficit in this
resolution. Trustees want the administration to understand their concern about approving a
deficit’budget. The goal for next year is a balanced budget.

RESOLUTION 6.8.02:12 McDonald/Hooper)
RESOLVED, that upon the recommendation of the Chancellor and the Finance
Committee, the Board of Trustees approves the 2002-03 schedule of tuition and fees
for the PhD Program in Leadership and Change, Antioch University McGregor,
Antioch University Seattle, Antioch New England Graduate School, and Antioch
University Southern California as presented at this meeting.
[Note: the Board at its February 2002 meeting approved a schedule of tuition and fees
for Antioch College.]

RESOLUTION 6.8.02:13 (McDonald/Kasch)
RESOLVED, that pursuant to Resolution 10.23.93:17 and Resolution 6.6.98:25, and
upon the recommendation of the Chancellor of Antioch University and the President
of Antioch College, the Board of Trustees hereby appoints David Hergesheimer to
serve as Chair of the Glen Helen Board of Overseers for the year ending June 30,
2003.
Passed unanimously.
RESOLUTION 6.8.02:14 fMcPonald/Bedford)
RESOLVED, that pursuant to Resolution 10.23.93:18, and upon the
recommendation of the Chancellor of Antioch University, the Board of Trustees
hereby appoints Randy Daniel to serve as Chair of the WYSO Resource Board for
the year ending June 30,2003.
Passed unanimously.
Joan Straumanis offered background information on Professor Mische for the following
tenure resolution and the reasons for her being fast-tracked (she has had tenure previously
at another institution). Prof. Mische’s vita is on file for reference.
RESOLUTION 6.8.02:17 fMcDonald/Hooper)
RESOLVED, that upon the recommendation of the President of Antioch College,
Patricia Mische, currently designated as the Lloyd Professor at Antioch College, is
granted tenure in peace studies and world law, effective September 1, 2003.
Passed unanimously.
RESOLUTION 6.8.02:15 (McDonald/Kasch)
RESOLVED, that Sections 4.1.3(2) and 4.1.3(4) of the By-laws of the University be
amended to authorize the Finance Committee and the Academic Affairs Committee to
consider jointly and recommend members of the faculty for tenure or emeritus status.
RESOLVED FURTHER, that the revisions of the By-laws described in the
immediately preceding paragraph of this resolution shall become effective
immediately.

Investment Committee Report -Niels Lyster (Minutes attached.)
No action items. At October’s meeting, the issue of hedge funds will be addressed.
Physical Facilities Committee Report – Bill Hooper (Minutes attached.)
Bill reviewed the history of the Grinnell Mill. The Grinnell Mill is on the historic register
but that it is a liability for the College. A local resident expressed an interest in
restoring/preserving it at no cost to the University and, although he preferred to purchase
it, Bill preferred a lease arrangement as being in the best interest of Antioch. During the
discussion, one trustee recommended that such processes regarding property be opened up
to others prior to agreements being made. The following resolution was moved and
seconded:
RESOLUTION 6.08.02:18 (Hooper/Kasch)
RESOLVED, that the Vice Chancellor and CFO and the Chair of the Physical
Facilities Committee, in consultation with the president of the College, the director of
Glen Helen and the Glen Helen Board of Overseers, are hereby authorized to negotiate
a long-term lease, not to exceed ninety-nine (99) years, for the property adjoining
Glen Helen known as the Grinnell Mill, with Jim Hammond of Yellow Springs, Ohio
upon the terms and conditions they deem best for the preservation and restoration of
said property.
RESOLVED further, that the Vice Chancellor and CFO is hereby authorized to
execute said lease on behalf of Antioch University.
Approved with one no vote.
Bill reviewed the status of the College’s “Golf Course” property. The Antioch School has
expressed an interest in more land for expansion. The possibilities for its use will be
strictly educational. Building classrooms, for example, would be permissible under current
caveats.

The Committee made recommendations to the Capital Campaign for College facility
renovation priorities. Bill requested, and the Board agreed by consensus, to support the
promotion of endowment for facilities as a part of the Capital Campaign.

WHEREAS, Lillian Pierson Lovelace has completed four consecutive terms as a
member of the Antioch University Board of Trustees; and,
WHEREAS, Trustee Lillian Pierson Lovelace served her tenure on the Board with
remarkable commitment and insight to the critical needs of the University; and,
WHEREAS, she has brought to the Board and the University a generosity of spirit and
resources to an array of projects, programs, and people;
NOW, THEREFORE, BE IT RESOLVED, that this Board appoints Lillian Pierson
Lovelace Trustee Emeritus of Antioch University, for the Board of Trustees of
Antioch University.

RESOLVED, that the Philanthropic Commitment Acceptance Policies reviewed and
modified at this meeting are hereby approved;
RESOLVED FURTHER, that except as incorporated into the policies approved at this
meeting, all prior policies for acceptance of gifts and related matters are hereby
rescinded, including those polices established by resolutions 2.4.95:4,2.4.95:5,
resolution dated September 9,1986, and resolution dated October 1987.

Krinsky asked Joan Straumanis to present the revised Sexual Offense Prevention Policy

RESOLUTION 6.8.02:16 16 (Hooper/Guernsey’)
WHEREAS, the Board of Trustees has previously approved the Antioch College
Sexual Offense Prevention Policy; and
WHEREAS, said policy has recently undergone an extensive campus review process
and revision culminating in its approval by ADCIL on April 23,2002; and

WHEREAS, the Board of Trustees has reviewed the revised policy and is satisfied
that the revised policy is appropriate for implementation by and for the Antioch
College Community.
BE IT THEREFORE RESOLVED, that upon the recommendation of the President of
Antioch College, the Board hereby approves the revised policy and delegates to the
President of Antioch College the authority to implement the revised policy.
BE IT ALSO RESOLVED, that upon implementation of the revised policy on the
Antioch College campus, the current version of the campus policy authorized pursuant
to Board Resolution 6.8.96:24 is hereby superceded.
BE IT FURTHER RESOLVED, that the President of Antioch College is further
delegated the authority to make future revisions of said policy as she or her successor
may deem necessary, without further review or approval by the Board of Trustees.
BE IT FINALLY RESOLVED, that the Board of Trustees expresses its sincere
appreciation to the Antioch College community for its commitment to the continued
evolution of a fair and workable policy on campus sexual behavior. The Board
believes that the revised policy, which was developed through the College’s
established governance processes, constructively addresses a major social issue on
campus in a manner that is fundamental to the Antioch College educational
experience. The Board calls upon all members of the College community to use the
revised policy to develop an awareness and respect for the rights of all persons to
make choices concerning their own sexual behavior.

RESOLUTION 6,8.02:19 (Kasch/Merselis)
WHEREAS, Paul D. Ewald, Ph.D., having been in higher education for fourteen
years, came to Antioch University in February 1999 to be the Associate to the
Chancellor, and
WHEREAS, he has used his skills in high quality writing, planning, and facilitating
communication to break through barriers at the Ohio Board of Regents for the
approval of the new Ph.D. in Leadership and Change, and
WHEREAS, Paul has used those same skills to move the NCA Self-Study along on its
circuitous and sometimes intricate path, and
WHEREAS, from the heights of his competence and expertise in the care and feeding
of ULC he has requested hummus on the buffet, and

WHEREAS, his quiet manner and subtle sense of humor have made him a trusted
work colleague who always makes time to listen and help;
NOW, THEREFORE, BE IT RESOLVED, that the Antioch University Board of
Trustees extends its sincere appreciation to Paul D. Ewald, Ph.D., for his many
contributions and devoted service to the University on this day, June 6,2002.

WHEREAS, Jessica Lipnack has completed one term as a member of the Antioch
University Board of Trustees; and
WHEREAS, she has served as co-chair of the Trusteeship Committee, leading the
effort of identifying potential trustees with passionate commitment, energy and

WHEREAS, she has been a member of the Finance and Development Committees, the
Antioch University McGregor Campus Committee, the 2001-02 Management
Transition Committee, and the 2001 AdHoc Governance Committee; and,
WHEREAS, she has brought to her work on the Board an exemplary level of
networking skills and her unique personality as the star of The Antioch Adventure.

WHEREAS, Leressa Crockett has completed four consecutive terms as a member of

WHEREAS, she has served on several important committees which studied the
strategic direction and scope of the University, including the 1995-96 Ad Hoc
Committee on Allocation of University Resources and the Ad Hoc Building Committee
and the 1996-97 Task Force on Strategic Financial Directions of the College; and,
WHEREAS, she served as chair of the Investment Committee and the Antioch
University Southern California, Antioch College, and Antioch New England Campus
Committees and as a member of the Finance/Administration, Academic Affairs,
Trusteeship, Development and Executive Committees; and
WHEREAS, as an alumna of Antioch College and as a trustee she has steadfastly
supported the College with her passion, focus and resolve, and has expressed her views
with a rare blend of honesty, humor and insight;

WHEREAS, Bruce P. Bedford served Antioch University as Executive Vice Chair and
CEO from June 3, 2001, to February 28, 2002; and,

Leadership Council with grace, humor and commitment through a transition period;

RESOLUTION 6.8.02:25 (Kasch/Merselis)
WHEREAS, James L. McDonald has served as Vice Chair and Treasurer of the
Antioch University Board of Trustees for seven years; and,
WHEREAS, he has brought remarkable insight and financial knowledge and ability to
the process of assessing and sorting out the complex financial picture of Antioch
College and the University in his role as Chair of the Finance Committee; and,
WHEREAS, he has served as a member of the Executive Committee, on the Antioch
College, Antioch University Southern California, Antioch New England, and Antioch
University Seattle Campus Committees, the Trusteeship Committee and a variety of
Ad Hoc committees, including the 1996-97 Task Force on Strategic Financial
Directions for the College and the 1995-96 Building Committee; and,
WHEREAS, as an Antioch College alumnus and, along with his wife, Phyllis Golinko
McDonald, ’65, he has provided generous and continuous gifts to College priorities as
well as to the other campuses; and,
WHEREAS, he has brought to his work on the Board his engaging sense of humor
and a dedication and commitment to financial reality and stabilization; and,
WHEREAS, he has left in our imaginations the sight of him riding off into the sunset
on his motorcycle;
NOW, THEREFORE, BE IT RESOLVED, that the Antioch University Board of
Trustees extends its sincere appreciation to James L. McDonald for his dedicated
service and commitment to the University on this day, June 6, 2002.
RESOLUTION 6.8.02:26 (Kasch/Merselis)
WHEREAS, Robert D. Krinsky joined the Antioch University Board of Trustees in
1983 and has served as Chair since 1993; and,
WHEREAS, he has held the offices of Secretary, Treasurer, and Chair-elect, and
served as Chair of Finance & Administration and the Executive Committee as well as
on numerous committees, task forces, and search committees; and,

WHEREAS, he has traveled tirelessly for Antioch, meeting prospective and current
trustees, alumni, students, administrators, and basically anyone who has asked for his
time; and,
WHEREAS, he has represented Antioch as a member and Chair of the Conference of
Board Chairmen of Liberal Arts Colleges and Universities, and represented the Board
at campus graduations, reunions and alumni events, particularly enjoying the George
Meany Center for Labor Relations graduations; and,
WHEREAS, he has hosted many meetings, receptions, dinners and gatherings for
Antioch’s major donors, alumni, volunteers and friends; has diligently corresponded
with numerous friendly, curious as well as disgruntled alumni; has written countless
notes of congratulations, thanks, and condolences; and,
WHEREAS, his extraordinary work for Antioch, his expansive love of the College
and dedication to the University has included not only his personal time and resources
but has extended to the support services and hospitality of The Segal Company; and,
WHEREAS, he has brought to his work on the Board a professional expertise shaped
by his undergraduate years at Antioch College where he received his Bachelor of Arts
in Mathematics in 1957, and an impressive career with The Martin Segal Company
where he started in a co-op job at the tender age of 17, and later becoming President
and Chairman of the Board; and,
WHEREAS, his tireless energy and balanced personality are complemented and
enhanced by a love of family and passion for bird-watching, travel, transportation
systems, and opera, all of which he incorporates into his skills as a leader, friend, and
colleague.
NOW, THEREFORE, BE IT RESOLVED, that the Antioch University Board of
Trustees extends its sincere appreciation to Robert D. Krinsky for his dedicated
service and commitment to the University on this day, June 6, 2002.
RESOLUTION 6.8.02:27 (Krinskv/Merselis)
WHEREAS, Lillian Pierson Lovelace has served as a member of the Antioch
University Board of Trustees for four consecutive terms; and
WHEREAS, she has served on a number of committees including Trusteeship,
Development, Physical Facilities, Antioch College Campus Committee, and as a
member of the Executive Committee and as chair of the Antioch University Southern
California Campus Committee; and,
WHEREAS, as an alumna of AUSC-Santa Barbara, she has provided leadership to the
AUSC Board of Visitors and supported personnel, new academic programs, special

events and development initiatives for the Los Angeles and Santa Barbara campuses;
and,
WHEREAS, as an alumna of Antioch College she has provided funding for a variety
of projects including the previous capital campaign; the renovation of Pennell House;
enrollment management and Co-op; faculty development and scholarship support; and
WHEREAS, she serves as Co-chair of the Antioch College Campaign Steering
Committee and as Honorary Chair of the Campaign, committing early leadership gifts
to build staff and programs for the development process; and, has brought to the
University her knowledge, understanding and experience with non-profit institutions
and foundations; and,
WHEREAS, she and Jon Lovelace have generously supported a number of critical
University stabilization projects and the new, innovative Ph.D. in Leadership and
Change; and,
WHEREAS, the Lovelaces have graciously and generously hosted the Board and
other alumni and friends in their beautiful homes;
NOW, THEREFORE, BE IT RESOLVED, that the Antioch University Board of
Trustees extends its sincere adrhiration and indebtedness to Lillian Lovelace for her
dedicated service and commitment to the University on this day, June 6,2002.

New Business
Sherwood Guernsey expressed concern regarding the level of funding for the College
Development Office during the capital campaign. After discussion the following
resolution was offered and seconded:
RESOLUTION 6.08.02:32 (S. Guernsev/J. Merselis)
RESOLVED, that the Chancellor, Vice Chancellor and CFO, and the Vice Chancellor
for Development and External Relations prepare and submit to the Board for review
and approval at the October 2002 Board meeting a staffing plan and budget for the
College Development Office, said plan and budget to include all personnel and other
expenses needed to run a successful capital campaign.
Unanimously approved.
Bob Krinsky asked for the Trustees’ indulgence while he offered some remarks in closing
his office as Chair of the Board. He read from his April 27, 2002, College commencement
remarks in which he expressed his strong ties and commitment to Antioch. It is his love of

Antioch and the education he received here that led to serving as chair for nine years. He
said that the same love is evident in classmate Joan Straumanis’ choice to serve Antioch
College as president.
Bob offered some advice to help the Board function better in the future, urging Trustees to
bring their dissatisfactions directly to the Board Chair so they can be remedied. He
acknowledged Leo Drey for his extraordinary generosity in saving the College and Al
Guskin for all he had learned from him. Bob acknowledged that working with Trustees
has been one of his greatest satisfactions, and that in his capacity as co-chair of the
Campaign Steering Committee he looks forward to their ideas for engaging the Board in
the capital campaign. “I’ve had a wonderful time and I love this place,” he said, and then
promised (in reference to the campaign): “You’ll be hearing from me!”
The Trustees and ULC stood and applauded.
Joan Straumanis asked the two Antioch graduates (Community Managers) to stand and
introduce themselves to the Trustees and ULC. Brandy and Tristan did so, then thanked
the Board. The Board in turn thanked them for their presence and commitment to Antioch.
Niels suggested that the number of subjects on the Board of Trustees meeting agenda be
limited in the future.
Bob asked if an Executive Session were necessary and the consensus was that none was
necessary. The Board thanked Toni Murdock, her assistants Wendy Dahl and Sharon
Sernius, and Leslie Johnson for the meeting hospitality and arrangements. There being no
further business, the meeting adjourned at 12:20 p.m.
