Trusteeship Committee Meeting Minutes
February 1, 2006

Committee Members Present: Barbara Winslow, chair, Reuben Harris, Dan Fallon,
joined later by Jack Merselis (delayed flight),

Other Trustees Present: Art Zucker, board chair

Committee Members Absent: Diane Fraser, Dan Kaplan and Larry Stone.

Staff Present: Lois Mann, by telephone, and Karen Ely (minutes) joined later

1. Trusteeship responsibilities:

Barbara needs to speak with those on the committee and those who will serve on 2006-07
to reinforce the Wednesday trusteeship meetings that take place before the BOT
meetings. When trustees are approached to join the committee, they do so understanding
that there will be a Wednesday meeting before the BOT meetings.

Barbara recognizes the need to be more proactive in reminding committee members
about dates and times of conference calls and meetings. Barbara, Lois and Karen will
worker closely in determining best times for conference calls.

2. Trusteeship participation at graduations
The following trustees where chosen to represent the Antioch University Board of
Trustees at campus graduations:

Barbara Winslow will speak at Antioch McGregor

Art Zucker will speak at Antioch College

Jack Merselis will speak at ANE

Further assignments for Seattle, Los Angeles, and Santa Barbara graduations will be
made at the June committee meeting.

3. Evaluation of Board Chair

Lois will check with AGB for protocol, standard forms and materials. The evaluation
should include Trustees, the Chancellor and Leslie Johnson. The process will begin at the
June BOT meeting with a full report to the board in October. Barbara will convene a
mini-committee with whom she will communicate from now until June.

4. Prospective Trustee Updates

The committee reviewed the names on the prospective trustee matrix and reviewed
actions to date. Karen will update the matrix with those actions and distribute to the
committee members.

5. Barbara reported on the relationship with Laura Markham.

6. Role / Responsibilities of Trustees who serve on campus Board of Visitors
Further discussion on BOVs was put on hold until the structure group has finished its
deliberations. In the meantime, it was agreed that no new asks for trustees to serve on
BOV’s should be made.

7. Board Buddy System and Trustee Orientation

Art suggested that this topic be added to the June trusteeship committee agenda. He
raised the possibility of reviewing the ‘board buddy system’ the BOT has adopted. Lois
will get materials from AGB on the general topic of trustee orientation. Jack Merselis
suggested that the social and personal interactions of board buddies should be clarified.

8. Barbara reminded the committee that she will meet with those trustees whose terms
expire this June and will report back at the June meeting.

Reconvened Trusteeship Committee Meeting
Friday, February 3, 2006

Committee Members Present: Barbara Winslow, chair, Dan Fallon, Dianne Fraser,
Reuben Harris, Dan Kaplan, Jack Merselis and Larry Stone

Other Trustees present: Art Zucker, board chair, and Amy Chappell, Everette Freeman
and Niels Lyster for the open portion of the meeting

Staff Present: Toni Murdock, Interim Chancellor and Karen Ely (minutes)

1. Review of Minutes from Wednesday:
Barbara briefly reviewed the minutes from the first meeting so those committee members
who were absent could be brought up to date.

2. Current Board Size and Make-up:

Art began a discussion about the uniqueness of the board members, and how they
continue to be open, objective, passionate people with an intensity for the Antioch
mission. The size of the board was discussed and it was explained that when the Antioch
College Campaign began it was recommended the size be increased from 25 to 40 to help
broaden board participation in the campaign. Our board is currently at 20.

3. Sharon Merriman discussion

At Barbara’s request trustees Amy Chappell, Everette Freeman and Niels Lyster reported
to the committee about their contact(s) with Sharon.

ACTION: The committee determined that the next action will be for Barbara Winslow
and Interim Chancellor, Toni Murdock, to personally meet with Sharon to review what
trustee expectations and responsibilities there are. They will report back to the committee
after a meeting with Sharon to determine next steps.

4. Expiring Terms

It was determined that Barbara Winslow will write a letter to Paula Treichler and then
talk to her about her trustee term expiring. She will also talk to David Crippens about his
term expiring and report back to the committee.

5. Board Self Evaluation:

Barbara advised that with a new Board Chair, and new Interim Chancellor that perhaps it
was time to conduct another Board Self Evaluation.

ACTION: Reuben Harris was selected to assist Barbaara in beginning the process,
developing questions, etc.

6. Wednesday Evening Committee Meeting in June in Keene
It was suggested that the trusteeship committee meet start at 6:00 PM for the June
meeting in Keene instead of 4:00 PM.

ACTION: Committee members agreed to this earlier start time and they will have a
dinner meeting.

Barbara ended the meeting by advising that in April the committee will be polled for their
availability for a May conference call.
