GHA Glen Operations, LLC (the “Owner’”) is the owner of a parcel of land located in Yellow
Springs Village and Miami Township, Greene County, Ohio, more particularly described in Exhibit A
attached hereto and made part hereof (the “Property”). The Owner acquired the Property by a
deed recorded as instrument Number 2020019647 of the deed records of the Office of the Greene
County Recorder.

Owner has received appropriations from fund 7031 or 7035 from the 135th General Assembly
in House Bills 2. The Ohio Department of Natural Resources (“ODNR”) administers these funds for
recreational development or conservation purposes. The Capital Improvement Community

Recreation and Conservation Project Pass-Through Grant Agreement (the “Agreement”) number is

Gree-010C. A copy of the Agreement is kept at the Owner’s office located at 405 Corry Street,

Yellow Springs, OH 45387.

is inconsistent with the purposes of this Covenant or detrimental to the Conservation Values
expressed herein. Except as otherwise permitted in this Covenant, such activity or use is
expressly prohibited. By way of example and without limitation, except as otherwise permitted
in this Covenant or in the Plan, the Owner hereby imposes upon the Property and agrees to
comply with the following activity and use limitations:

a. Conservation. Restoration, maintenance, and protection of the Conservation Values of the
Property shall be carried out and maintained in accordance with the conservation activities as
defined in the Plan and this Covenant.

b. Natural Area. The Property shall be maintained in perpetuity as a natural area. The
Property shall be managed to accomplish the purposes of this Covenant. If there may be
occasion when the management of the Property for a purpose other than those of the
Covenant conflicts with the management of the Property for the purposes of the Covenant,
the management of the Property for the purposes of the Covenant shall be superior to the
management of the Property for any other purpose or use, and the management for the other
purpose shall therefore be modified to eliminate, conflict, or terminated, in favor of
management for the purposes of this Covenant.

In order to maintain the ecological balance of the Property or to protect human health and
safety, fishing, hunting, and trapping may be permitted by the Owner in consultation with the
Ohio Department of Natural Resources, Division of Wildlife and in accordance with State
regulations.

No buildings, or other structures including, but not limited to, billboards or advertising of any kind, camping accommodations, and mobile homes shall be erected or placed on the Property. The Owner may erect fencing consistent with the purposes of the Environmental Covenant and the Conservation Values of the Property. h. Resource Extraction. Owner shall grant no new rights for mining, drilling, exploring for or removal of, water, minerals, oi!, gas, or other substances from the Property. There shall be no mining, drilling, exploring for or removal of, water, minerals, oil, gas, or other substances from the Property except as identified in Exhibit B of the Covenant. The Owner shall be permitted to maintain the Property by removing dead or fallen trees and plants in a manner that is not detrimental to the Conservation Values or not inconsistent with the purposes of the Covenant. i, Earth Moving and Land Surface Alteration. There shall be no ditching, draining, diking, filling, excavating, or removal or disturbance of topsoil, sand, gravel, rock, or other materials. j. Drainage Alterations. All trash or nonconforming material that is dumped or placed on the Property shall be removed from the Property by the Owner and the Holder within thirty (30) days of its discovery provided, however, that Owner shall not be considered in default of the terms of this Covenant if Owner cannot reasonably access such item within such thirty (30) day time period. Owner shall notify the Ohio EPA within three days of the discovery of any such item. Owner shall remove each item within thirty (30) days of Owner’s ability to reasonably access such item or sixty (60) days, of its discovery, whichever is sooner. o. Plants and Animals. The Owner shall allow no purposeful introduction of domestic livestock or non-native plants or animals. There shall be no feedlots permitted on the Property. No plants or animals shall be removed from the Property except as permitted by the Owner, this Covenant, and State law. The Owner shall be permitted to engage in incidental collection of natural material as part of educational or scientific research programs in quantities that do not conflict with purposes of the Covenant, as described in the Natural Areas section above. p.
