The original Articles of Incorporation for the Antioch College Continuation Corporation — the nonprofit entity Antioch College alumni formed to receive the college’s assets and reopen it as an independent institution after Antioch University closed the original college in 2008. Filed with the Ohio Secretary of State and certified December 7, 2007, the articles establish the corporation as a 501(c)(3) organized “to receive the assets of Antioch College wherever located… and to operate Antioch College as an educational institution,” with a dissolution clause requiring any remaining assets to pass only to another tax-exempt or public purpose. Statutory agent: ACEB, Inc., c/o Benesch, Friedlander, Coplan & Aronoff, LLP, Columbus, Ohio.
